The crash happened yesterday afternoon, just before 3pm, and the 34-year-old woman appeared to be trapped in the vehicle when St John Ambulance crews arrived.
It is believed the vehicle hit a ditch before colliding with the tree.
The female driver suffered multiple injuries, including suspected broken ribs and lung injuries.
A male passenger managed to free himself from the wreckage of the car. He only suffered minor injuries.
Both were taken to Katherine Hospital in the care of St John Ambulance paramedics.
The woman was later taken to the Royal Darwin Hospital by a fixed wing CareFlight aircraft.
